You will be a member of the Legal Division of Euroclear SA, the parent entity of the operating entities, working partially for the Legal Division and partially for Corporate Secretariat. Most of the tasks will relate to the activities of ESA Polish branch but you will also provide support to the group parent companies with focus on the areas of governance, corporate law and contract (IT) law matters. In the Legal Division you will be part of a strong team of professionals, lawyers and paralegals located in different countries. ESA Legal also provides operational and technical support to the different legal teams of Euroclear Group entities. You will join a dynamic and international team of lawyers with a great team spirit and working together in a good atmosphere. 

The job is located in Krakow (hybrid mode).

About your role

Your main tasks and responsibilities will include: 

Corporate secretariat tasks

  • Being responsible for the local registration / notification / update / follow up with the KRS (National Court Registry in Poland) concerning ESA’s board / MC composition / control functions changes (within 7 days of the appointment / dismissal. 
  • The effective date of the actual appointment should be determined under Belgian law, but in any case, it should be the date as of which the appointee is actually authorised to represent the company: nomination approved by the NBB).
  • Being responsible for the overall Corporate Administration of the ESA Branch. Reporting line into ESA CoSec on Governance matters.
  • Appointment / dismissal of the branch manager / deputy branch manager. This must be notified by the ESA MC to CoSec formally – F&P and annual questionnaire will need to be performed by ESA CoSec in collaboration with the on-site liaison.
  • Translation of relevant governance documents Polish / English: liaison with official / sworn translator depending on the documentation to be translated. 
  • Certification of POAs for Corporate documents/apostille, when needed. 
  • ESA CoSec needs to be informed about the documents that need to be filed in on an ad hoc / annual basis.
  • Changes to corporate documents of ESA (i.e. change of address, AoA), org structure (on an annual basis) to be notified to the local authorities + share the annual accounts (certified by the shareholders) to the local authorities.
  • Good governance: structure reporting line (branch manager –> ESA CIO –>  MC) awareness. 
  • The NBB (as part of the NBB non-objection) noted that the branch manager reports directly and exclusively to the ESA Chief Information Officer when it comes to the general functioning of the branch. The NBB deems it advisable for ESA to monitor the adequacy of this setup, depending also on the evolution of the ESA Krakow branch, once the branch is in place and to report back to it, where relevant, any change in the beforementioned reporting line.

Legal tasks

Supply Chain/IT/IP:

  • Assist in drafting, reviewing and negotiating a wide range of contracts with suppliers in cooperation with Supply Chain and the business. This includes both  local and group related contracts, mainly on facilities, utilities, professional services, IT licenses, marketing and HR related matters and also on the lease agreement.
  • Assist the IT/IP/Supply Chain legal team on ad hoc initiatives (update of the template library, etc…)
  • some IP work. 

Governance:

  • Day-to-day and legal support for the Governance and Group Structuring Centre of Excellence on questions of corporate law and governance;
  • Assisting for the preparation of discussions with regulators on governance matters;
  • Assisting on projects or matters where governance knowledge may be required;
  • Working in a transversal manner with other teams of the legal division.

Your profile

Technical skills

  • Minimum a bachelor degree in Law or an equivalent qualification or experience; 
  • with minimum 3 years of relevant experience, preferably in a law firm, financial institution or international environment; 
  • fluent in written and spoken English and Polish
  • with computer literacy: MS Office, SharePoint
  • project management and contract drafting/negotiation experience is a plus
